Terms of Service

1. Acceptance of Terms

By accessing or using Soma ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. Your continued use of the Service after any changes to these Terms constitutes acceptance of the revised Terms.

2. Description of the Service

Soma is an AI-powered personal memory archive that allows users to upload photos, documents, and text. Soma extracts dates, people, locations, and topics from your content using artificial intelligence, and presents them as an interactive chronological timeline with semantic search, AI-generated biographies, and engagement features such as reminders and anniversary notifications.

3. User Accounts and Eligibility

You must be at least 18 years old to create an account and use the Service. By creating an account, you represent that you meet this age requirement. You agree to provide a valid email address and to keep your account credentials secure. You are responsible for all activity that occurs under your account.

Soma reserves the right to refuse service, terminate accounts, or remove content at its sole discretion.

4. Subscription and Billing

Soma offers the following subscription options:

Founding Deal: A one-time payment of $9.99 for lifetime access (limited availability).

Monthly: $19.00 per month, billed monthly.

Annual: $190.00 per year, billed annually.

All payments are processed securely through Stripe. By subscribing, you authorize Soma to charge the applicable fees to your payment method on a recurring basis (for monthly and annual plans) or as a one-time charge (for the founding deal).

All charges are non-refundable except where required by applicable law. If you cancel a monthly or annual subscription, your access continues until the end of the current billing period, and no further charges will be made. Cancellation does not entitle you to a refund for any portion of the current billing period already paid.

Soma reserves the right to change subscription pricing with reasonable advance notice.

5. User-Generated Content

You retain ownership of all content you upload to the Service ("User Content"), including photos, documents, and text. By uploading User Content, you grant Soma a limited, non-exclusive, royalty-free license to store, process, and display your User Content solely for the purpose of providing the Service to you. This license terminates when you delete the content or close your account.

Soma does not claim ownership of your User Content and will not sell or share it with third parties except as necessary to operate the Service (e.g., AI processing providers) or as required by law.

6. Acceptable Use Policy

You agree not to use the Service to:

Upload, store, or transmit any content that is illegal, harmful, defamatory, obscene, or that infringes the intellectual property rights of others.

Upload content belonging to or depicting other individuals without their knowledge and consent.

Attempt to reverse engineer, decompile, or disassemble any part of the Service.

Use the Service to harass, abuse, or harm any person.

Circumvent any security measures or access controls of the Service.

Violate any applicable local, state, national, or international law or regulation.

7. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review the Privacy Policy to understand our data practices.

8. Termination

Soma may suspend or terminate your account and access to the Service at any time, with or without notice, for conduct that Soma believes violates these Terms or is harmful to other users, Soma, third parties, or the Service.

You may delete your account at any time from your account settings. Upon account deletion, your data will be removed from Soma's systems in accordance with our Privacy Policy.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. SOMA DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SOMA AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF DATA, LOSS OF PROFITS, OR LOSS OF GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF SOMA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL SOMA'S TOTAL LIABILITY TO YOU EXCEED THE AMOUNTS YOU HAVE PAID TO SOMA IN THE TWELVE MONTHS PRECEDING THE CLAIM.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Delaware.

12. Changes to Terms

Soma reserves the right to modify these Terms at any time. When we make changes, we will notify you by email at least 14 days before the changes take effect. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Service and may delete your account.
